On October 19, 2015, the Government of Vietnam issued the Decree No. 97/2015/NĐ-CP on the management of title and position holders in wholly State-owned one-member limited liability companies.
According to the Decree No. 97/2015/NĐ-CP of the Vietnam’s Government, when assessing and fostering knowledge for the manager of wholly State-owned one-member limited liability companies, the following issues should be noted:
1. Basis for assessment of the manager of wholly State-owned one-member limited liability companies
Assessment basis include:
- The charter of the group, corporation or company;
- Rights and responsibilities of the Members' Council and the company's president in accordance with law;
- The annual work plan has been approved by the competent authority.
2. Assessment time
The assessment of enterprise managers is carried out annually right after the enterprise publishes its annual financial statements as prescribed and before the process of planning, appointment, re-appointment, resignation and dismissal, reward and discipline for business managers is carried out.
3. Jurisdiction and responsibilities of the assessor
- Ministers in charge of branch management, Chairpersons of provincial-level People's Committees shall evaluate Chairpersons of the Members' Council, company presidents, members of the Members' Council, and specialized controllers.
- The Members' Council and the company's president shall evaluate the General Director and Director.
- The General Director, Director evaluates other enterprise managers according to the decentralization of authority.
Note: The person assigned the authority to evaluate the enterprise manager is responsible for his/her assessment decision.
4. Assessment contents
- The results of performing tasks according to the program, annual plan or term approved by the competent authority, including: Results of the performance of assigned objectives and tasks; Production and business results and efficiency of groups, corporations and companies.
- Results of monitoring and evaluating the performance of the competent agency's performance of groups, corporations and companies in accordance with law.
- The implementation of the charter of the group, corporation or company.
- The observance of the Party's lines, guidelines and policies and the State's laws; the law on anti-corruption; practice thrift, anti-wasting; rules and regulations of groups, corporations, companies.
- Political qualities, ethics, lifestyle, working style and manners.
- Ability to lead, manage, administer and organize tasks.
- Participating in activities organized by owners, groups, corporations, companies.
5. Assessment classification
Business managers are evaluated annually and are classified according to 03 levels: excellent completion of the task, completion of the task and failure of the task.
