The Chairman of the Board of Trustees of a Private Intermediate School May Simultaneously Hold the Position of Principal

This is a notable content in Circular 39/2012/TT-BGDDT issued by the Ministry of Education and Training, promulgating the regulations on the organization and operation of private professional secondary schools, issued on November 5, 2012.

To be specific:, Article 10 of the Regulation issued in conjunction with Circular 39/2012/TT-BGDDT stipulates that the Chairman of the Board of Directors of a private vocational intermediate school is elected by the Board of Directors from its members and recognized by the Director of the Department of Education and Training. The Chairman of the Board of Directors can concurrently hold the position of Principal if he/she meets the required standards for the Principal.

Note: The Chairman of the Board of Directors must have good moral character and hold at least a university degree. The Chairman of the Board of Directors has the following duties and powers:

- Developing the agenda and activity plans of the Board of Directors;- Presiding over the preparation of the program, content of materials for meetings, convening, and chairing the meetings of the Board of Directors;- Organizing the approval of resolutions by the Board of Directors;- Directing the implementation of the resolutions of the Board of Directors after they are approved;- Reporting, explaining the results of the implementation of the resolutions of the Board of Directors, ensuring financial transparency and the use of other school resources;- Performing other rights and duties as regulated by this Regulation and the Regulation on the organization and operation of the school.

In the case where the Chairman of the Board of Directors is absent for a certain period as stipulated in the Regulation on the organization and operation of the school, he/she must authorize the Vice Chairman of the Board of Directors (if any) or a member of the remaining members of the Board of Directors to perform the rights and duties of the Chairman of the Board of Directors during the absence. The authorization must be made in writing and publicly announced, and reported to the Department of Education and Training for monitoring and management. The duration of the authorization is not to exceed 6 months and the authorization cannot be applied successively twice.

Private vocational intermediate schools are allowed to appoint an Acting Chairman of the Board of Directors. The appointment and recognition of the Acting Chairman of the Board of Directors are conducted similarly to the election of the Chairman of the Board of Directors. The recognition period for the Acting Chairman of the Board of Directors does not exceed 6 months from the date of recognition and cannot be applied successively twice for the same individual.
