Chairman of the Board of Members, members of the Board of Members, General Director of Vietnam National Chemical Group enjoy salary, remuneration, bonuses and other benefits according to the results and business efficiency of the Vietnam National Chemical Group in accordance with this Charter and the provisions of law and is included in the business management costs of Vietnam National Chemical Group.

What are duties of the Chairman of the Board of Members, members of the Board of Members and the General Director of the Vietnam National Chemical Group?

According to Article 58 of the Regulations on the organization and operation of the Vietnam National Chemical Group issued in accordance with Decree 20/2018/NĐ-CP, the duties of the Chairman of the Board of Members, members of the Board of Members and the General Director of the Vietnam National Chemical Group are as follows:

a) Comply with the law, this Charter, and decisions of the owner's representative agency in implementing assigned rights and tasks;

b) Carry out assigned rights and duties honestly, carefully, and in the best way to ensure maximum legitimate interests of Vietnam National Chemical Group and its owner;

c) Loyal to the interests of Vietnam National Chemical Group and its owners. Do not use information, know-how, business opportunities of Vietnam National Chemical Group, abuse position, position and assets of Vietnam National Chemical Group for personal gain or to serve the interests of the organization, other individuals; Do not give assets of Vietnam National Chemical Group to others; Do not disclose secrets of Vietnam National Chemical Group while performing your duties as a member of the Board of Members or General Director and for a minimum period of 03 years after ceasing to be a member of the Board of Members or General Director, unless otherwise approved by the Board of Members;

d) When Vietnam National Chemical Group fails to fully pay debts and other property obligations due, the General Director must report to the Board of Members and find measures to overcome financial difficulties.

In this case, the Chairman of the Board of Members, members of the Board of Members and the General Director are not allowed to decide to increase salaries, and are not allowed to deduct profits to pay bonuses to managers and employees;

d) When Vietnam National Chemical Group fails to fully pay debts and other property obligations due without complying with the provisions at Point d of this Clause, they must be personally responsible for damages caused to the creditor;

e) In case the Chairman of the Board of Members, member of the Board of Members, General Director of Vietnam National Chemical Group violates the Charter, makes decisions beyond authority, abuses positions and powers causing damage to Vietnam National Chemical Group and its owner, they must compensate for the damage according to the provisions of law and this Charter;

g) Do not let their spouse, natural parents, adoptive parents, natural children, adopted children, biological brother, brother-in-law, sister-in-law holds the title of Chief Accountant of Vietnam National Chemical Group.
