The business location of an enterprise may not be its registered headquarters. However, the enterprise is only permitted to establish a business location in the province or municipality where the enterprise's headquarters or branch is located. Notice regarding the registration of operation of branches, representative offices/business locations1. Application for registration of a business location in Vietnam
According to the provisions of Decree 122/2020/ND-CP regulating the coordination and interconnected procedures for enterprise establishment, Decree 78/2015/ND-CP on enterprise registration, and Decision 1523/QD-BKHDT, the application for registration of a business location in Vietnam includes:
- Notice regarding the registration of operation of branches, representative offices/business locations: Appendix II-11 issued together with Decree No. 122/2020/ND-CP.
- In case the enterprise is a credit institution in the form of a limited liability company or joint-stock company, the application must include a valid copy of the license or approval document from the State Bank of Vietnam when establishing a business location.
- In case of authorization to carry out the procedures for enterprise registration, the authorized person must submit a valid copy of one of the personal identification documents:
- For Vietnamese citizens: Valid citizen ID card or ID card or Vietnam passport;
- For foreigners: Vlaid foreign passport or a document substituting for a foreign passport
One of the two following documents must enclosed with the application (these documents are not required to be notarized or authenticated):
- A valid copy of the service contract with the organization providing services related to procedures for enterprise registration and an introduction letter from that organization for the individual directly performing the related procedures; or
- An authorization letter for the individual to perform procedures for enterprise registration.
2. Methods of submitting the application for registration of a business location in Vietnam
- Direct submission: The enterprise or the authorized person sends directly 01 application to the Business Registration Office where the business location is located.
- Submission online: The enterprise or the authorized person submits the application according to the process on the National Enterprise Registration Portal: https://dangkykinhdoanh.gov.vn
3. Procedures for registration of a business location in Vietnam
- The enterprise sends the Notice of establishing a business location to the Business Registration Office under the Department of Planning and Investment where the business location is located.
- Upon receiving a valid application from the enterprise, the Business Registration Office inputs the information into the National Enterprise Registration Information System to request a business location code.
- Within 03 working days, from receiving a valid application, the Business Registration Office issues the Business Location Registration Certificate to the enterprise.
Note: According to Circular 47/2019/TT-BTC, the registration fee for establishing a business location is 50,000 VND for direct submission, and online registration is not eligible for fees.
