Who has the authority to amend the Charter of a Single-Member Limited Liability Company owned by the State?

On March 14, 2014, Decree 19/2014/ND-CP was approved and issued by the Government of Vietnam, promulgating the model charter of single-member limited liability companies wholly owned by the State.

Decree 19/2014/ND-CP stipulates that the owner of a single-member limited liability company owned by the State decides on the amendment and supplementation of the company's Charter. The Members' Council, Chairman of the company has the right to propose to the Company owner for amending and supplementing this Charter.

"Company owner" is the abbreviated term for the Ministry managing the sector or the People's Committee of the province which established the Company or was assigned to manage the Company.

Additionally, the Members' Council (Chairman of the company) will decide to approve the official seal of the Company and shall exercise the management and use of the seal in accordance with the law in conjunction with the General Director (Director).

Moreover, in the event of an internal dispute within the company, the resolution of internal disputes within the Company must first be carried out through negotiation and conciliation.

- In case the resolution of internal disputes through negotiation and conciliation does not achieve results, any party has the right to bring the dispute to the competent authorities for resolution.
