Sequence and Procedures for Business Registration

According to the provisions of Article 27 of the Law on Enterprises 2014 and Article 27 of Decree 78/2015/ND-CP on enterprise registration, the procedure for business registration is carried out through 03 steps:

Step 1: The person establishing the enterprise or the authorized representative submits the application at the Business Registration Office where the enterprise's head office is located.

The enterprise registration dossier must contain all the required information to be accepted for input into the National Enterprise Registration Information System. Specifically:

- The dossier must contain all the required documents; depending on the specific case, the law prescribes different types of documents.- The business name must be entered in the Application for Enterprise Registration, the Application for Registration of Changes to Enterprise Registration Content, and the Notification of Changes to Enterprise Registration Contents.- Contact address of the person submitting the enterprise registration application must be provided;- Registration fees and charges must be paid according to regulations.

Step 2: After receiving the enterprise registration dossier, the Business Registration Office issues a Receipt of the dossier to the applicant.

Step 3: After issuing the Receipt of the dossier, the Business Registration Office fully and accurately enters the information in the enterprise registration dossier, checks the validity of the dossier, and uploads the digitized documents in the enterprise registration dossier into the National Enterprise Registration Information System.

Within 03 working days from the date of receipt of a valid dossier, the Business Registration Office will issue the Enterprise Registration Certificate.

If the dossier is invalid or the business name does not comply with the regulations, the Business Registration Office must clearly inform the content that needs to be amended or supplemented in writing to the person establishing the enterprise or the enterprise within 03 working days from the date of receipt of the dossier. The Business Registration Office records all requests for amendment or supplementation of the enterprise registration dossier for each set of dossiers submitted by the enterprise in a Notification requesting amendment or supplementation of the enterprise registration dossier.

If the 03 working day period elapses and the Business Registration Office still does not fulfill its assigned responsibilities, the person establishing the enterprise or the enterprise has the right to lodge a complaint according to the provisions of the law on complaints and denunciations.
