This is a noteworthy content stipulated in Circular 13/2015/TT-BGDDT promulgating the regulations on the organization and operation of private preschools, signed by the Minister of Education and Training.
Board members are those who contribute capital to the establishment of the school or kindergarten, or representatives of organizations or individuals who have contributed capital as stipulated in the Organizational and Operational Regulations of the school or kindergarten.

When there is a need to change board members, it is done in accordance with the Organizational and Operational Regulations of private preschools issued together with Circular 13/2015/TT-BGDDT. Specifically:
- The addition or change of board members must be approved by the General Meeting of contributing members by secret ballot.
- In the case where the number of board members decreases by more than one-third of the number stipulated in the school or kindergarten's Organizational and Operational Regulations, within no more than 30 days from the date the number of board members decreases beyond the stipulated amount, the Chairman of the Board must convene a meeting of the General Meeting of contributing members to elect additional board members.
- For schools or kindergartens with 2 contributing members, if one member withdraws and the school or kindergarten becomes solely funded and operated by one contributing member, the regulations for schools or kindergartens without a board of directors, as stipulated in Article 11 of this Regulation, will apply.
Additionally, Circular 13 also outlines cases of dismissal and exemption of board members, specifically:
- Board members can be dismissed in the following cases:
- Currently serving a court sentence;- Serious violations of the Organizational and Operational Regulations of the school or kindergarten;- More than 50% of the total number of contributing members propose a written petition for dismissal.
- Board members can be exempted in the following cases:
- Written request to resign from the board;- Being legally incapacitated;- Unable to meet health requirements to perform current duties.
