Types of Contracts for the Sale of Goods Under Vietnamese Law
Forms of Sales Contracts according to Vietnamese Law
According to the provisions of Article 24 of the Commercial Law 2005, the forms of sales contracts under Vietnamese law are specified as follows:
- Sales contracts may be expressed orally, in writing, or established by specific actions.
- For types of sales contracts that the law requires to be in writing, these regulations must be followed.
In which, the purchase and sale of goods is a commercial activity, whereby the seller is obliged to deliver goods, transfer ownership of the goods to the buyer, and receive payment; the buyer is obliged to pay the seller, receive the goods, and the right to own the goods according to the agreement.
Is it mandatory for sales contracts to be in writing?
Article 24 of the Commercial Law 2005 specifies the forms of sales contracts under Vietnamese law as follows:
- Sales contracts may be expressed orally, in writing, or established by specific actions.
- For types of sales contracts that the law requires to be in writing, these regulations must be followed.
=> Thus, according to the above regulations, not all sales contracts are required to be in writing.
