Is the Representative Office of a Foreign Company Required to Use the Parent Company's Seal When Signing Contracts?
Pursuant to the provisions of Clause 2, Article 17 of the Commercial Law 2005:
The representative office of a foreign merchant conducting commercial activities in Vietnam has the right to lease offices, rent, and purchase necessary means and equipment for the operation of the representative office.
Clause 5 of this Article also stipulates:
The representative office of a foreign merchant in Vietnam has the right to have a seal bearing the name of the representative office in accordance with the laws of Vietnam.
Thus, according to this regulation, the representative office of a foreign company is granted the right to lease premises to serve the operation of the representative office. Therefore, when signing a lease contract, the representative office is fully entitled to use its seal.
Note: The representative office is not permitted to sign contracts for direct profit generation in Vietnam.
