Can a Limited Liability Company Issue Bonds?
According to the provisions of the Law on Enterprises 2020, a limited liability company (LLC) includes a single-member limited liability company and a multi-member limited liability company.
Thus, can a single-member limited liability company and a multi-member limited liability company issue bonds?
Based on Clause 4, Article 46, and Clause 4, Article 74 of this Law, it is stipulated:
A multi-member limited liability company may issue bonds according to the provisions of this Law and other relevant laws; the issuance of private bonds must comply with the provisions of Articles 128 and 129 of this Law.
A single-member limited liability company may issue bonds according to the provisions of this Law and other relevant laws; the issuance of private bonds must comply with the provisions of Articles 128 and 129 of this Law.
According to the regulations, both single-member limited liability companies and multi-member limited liability companies are permitted to issue bonds according to the provisions. Thus, it can be concluded that an LLC is allowed to issue bonds.
