According to the law in Vietnam, what are the regulations on internal audit of VINACHEM?

Pursuant to Article 62 of the Charter of Organization and Operation of VINACHEM issued together with the Decree 20/2018/ND-CP stipulating the internal audit of VINACHEM as follows:

1. VINACHEM has an Internal Audit Committee under the Members' Council. The Members' Council shall stipulate the organizational structure, functions, tasks, powers, standards, conditions, salary, bonus and other related issues and issue the Regulation on operation of the Internal Audit Committee.

2. The Internal Audit Committee assists the Members' Council of VieVINACHEM in performing the following functions:

- Independently and objectively reviewing and evaluating the suitability and compliance with regulations, internal policies, procedures and processes established in the VINACHEM; detect and prevent violations; making recommendations to improve the efficiency of systems, processes and regulations, contributing to ensuring that VINACHEM operates safely, effectively and in accordance with the law.

- Inspect and supervise production, business and management and administration activities in the VINACHEM; promptly detect, prevent, limit and overcome errors and risks in production and business activities; operate smoothly, safely and legally all production and business activities of the VINACHEM and the enterprises in the VINACHEM.

3. Responsibilities of the Internal Audit Committee

- Confidentiality of documents and information in accordance with current legal regulations, the Charter of Vietnam Chemical Group and the operation regulation of internal audit.

- To be responsible to the Members' Council for the results of the internal audit work, for the evaluations, conclusions, recommendations and proposals in the internal audit reports.

- Monitor the results of implementing recommendations after internal audit of units and divisions of VINACHEM.

What issues can employees of VINACHEM disscuss in the conference of Employees and Trade Union?

Pursuant to Clause 5 Article 65 of the Charter of Organization and Operation of VINACHEM issued together with the Decree 20/2018/ND-CP stipulating as follows:

Through the conference of workers and trade unions, workers have the right to discuss and vote on the following issues:

a) Contents or amendments and supplements to the content of the collective labor agreement for the representative of the employee collective to sign with the General Director;

b) Regulations on the use of welfare funds, rewards and planning targets of Vietnam Chemical Group directly related to the rights and obligations of employees in accordance with State regulations;

c) Evaluation of operation results and operation program of the People's Inspection Committee;

d) Electing the People's Inspection Committee.

What are the principles of management and administration of the VINACHEM?

Pursuant to Clause 1 Article 66 of the Charter of Organization and Operation of VINACHEM issued together with the Decree 20/2018/ND-CP stipulating principles of management and administration of the VINACHEM as follows:

a) Manage and administer through the exercise of owner's rights; representative;

b) Manage and operate through the VINACHEM;

c) Manage and operate through agreements, cooperation in using common services throughout the VINACHEM, forms of investment and association; implement the general regulations, standards and norms throughout the VINACHEM that are not contrary to the law; use each other's products and services according to market principles;

d) Comply with the law; through ownership relationships and economic contractual relationships. Do not interfere with administrative orders; harmonize interests; ensure the development of state capital in accordance with the development orientation of the chemical industry approved by competent authorities;

dd) Other methods as prescribed by law and in accordance with the charter of the member enterprises.
