Procedure for Converting Law Practice Organization Forms

Recently, the Ministry of Justice has issued Circular 17/2011/TT-BTP providing guidance on the provisions of the Law on Lawyers and the Decree guiding the Law on Lawyers concerning the social-professional organization of lawyers.

Procedures for Converting the Form of Legal Practice Organization (Illustration)

According to Article 8 of Circular 17/2011/TT-BTP, the procedures for converting the form of legal practice organization are carried out as follows:

  1. A law office can be converted into a limited liability law firm based on inheriting all the rights and obligations of the law office according to the provisions of the law.

The application for converting the form of legal practice organization shall be sent to the Department of Justice where it is registered for operation. The application includes:

- Application for registration of operation of the limited liability law firm;- Commitment of the head of the limited liability law firm to inherit all rights and obligations of the law office;- Notification to clients about the conversion;- Draft charter of the limited liability law firm;- Operation registration certificate of the law office;- List of members or owner lawyers of the firm; a copy of the Lawyer's Practice Certificate, Lawyer Card of member lawyers in case of conversion to a multi-member limited liability law firm;- A copy of documents proving the headquarters in case there is a change in headquarters.

Within seven working days from the date of receiving a complete and valid application, the Department of Justice shall issue an operation registration certificate to the limited liability law firm.

  1. The procedure for announcing the operational registration content of the limited liability law firm shall be carried out in accordance with the provisions of Article 38 of the Law on Lawyers.
