Who is the Legal Representative in a Joint-Stock Company under the New Law?
According to Clause 2, Article 137 of the Law on Enterprises 2020 (effective from January 1, 2020):
In the case where a company has only one legal representative, the Chairman of the Board of Directors or the Director or the General Director is the legal representative of the company. In the case where the Charter does not stipulate, the Chairman of the Board of Directors is the legal representative of the company. In the case where the company has more than one legal representative, the Chairman of the Board of Directors and the Director or the General Director are naturally the legal representatives of the company.
Hence, firstly the legal representative in the joint-stock company will be based on the company's Charter.
In the case where the Charter does not stipulate, the Chairman of the Board of Directors is the legal representative of the company.
In the case the company has more than one legal representative, the Chairman of the Board of Directors and the Director or the General Director are naturally the legal representatives of the company.
