Pursuant to Clause 5.a Article 73 of the Charter of Organization and Operation of Vietnam National Chemical Group issued together with Decree 20/2018/ND-CP stipulating the rights of subsidiaries with controlling shares or contributed capital of Vietnam National Chemical Group as follows:

- Participate in a business cooperation plan on the basis of an economic contract with the Vietnam Chemical Group and other member units of the Vietnam Chemical Industry Group;

- Be assigned by Vietnam Chemical Group to perform production and business contracts on the basis of economic contracts with Vietnam Chemical Group;

- Information provided by Vietnam Chemical Group; participate in preliminary and final meetings; career guildline; review, emulation and commendation.

What are the obligations of subsidiaries with shares and controlling capital contributions of Vietnam National Chemical Group?

- Implement regulations related to subsidiaries in this Charter; regulations and internal regulations of Vietnam Chemical Group; implement the economic - technical norms and norms of the Vietnam Chemical Group;

- Implement commitments in economic contracts with Vietnam Chemical Group;

- Develop production and business plans according to the orientation of Vietnam Chemical Group.

What decision does the Vietnam National Chemical Group have the right to decide in the management of investment capital in other enterprises made by the Members' Council of Vietnam National Chemical Group?

Pursuant to Clause 2.b Article 77 of the Charter of Organization and Operation of Vietnam National Chemical Group issued together with Decree 20/2018/ND-CP stipulating as follows:

Decision:

- Appoint, change or discontinue the appointment of a representative representing the contributed capital of Vietnam National Chemical Group; introduce candidates to the Board of Directors, Board of Members, Supervisory Board, Supervisors in subsidiaries in which 100% of charter capital is held by Vietnam Chemical Group, companies with shares, capital contributions of the Vietnam National Chemical Group in accordance with the Company's Charter and relevant laws in Vietnam and abroad;

- Decide on reward, discipline, responsibility allowances for the representative of Vietnam Chemical Group participating in the Board of Directors, Board of Members, Supervisory Board, and Supervisors of subsidiaries of Vietnam National Chemical Group holds 100% of charter capital, subsidiaries have shares and controlling capital contribution of Vietnam National Chemical Group and its affiliated companies;

- Decide the salary, allowance, bonus and other benefits for the Representative, unless such person has received salary from the enterprise with capital contribution of Vietnam National Chemical Group in accordance with the provisions of law.

Pursuant to Clause 2.c Article 77 of the Charter of Organization and Operation of Vietnam National Chemical Group issued together with Decree 20/2018/ND-CP stipulating as follows:

Assign tasks and request representatives of Vietnam Chemical Group in companies with shares or contributed capital of Vietnam National Chemical Group to perform the following tasks:

- Orienting the company to implement the goals assigned by the Vietnam National Chemical Group and the business cooperation plan of the Vietnam National Chemical Group;

- Reporting periodically or irregularly on financial situation, business results and other contents about the company with capital contribution of Vietnam National Chemical Group;

- Reporting on important issues of the company having shares or contributed capital of Vietnam National Chemical Group for guidance before voting;

- Reporting on the use of shares, contributed capital, markets, and technological know-how to serve the development orientation and goals of the Vietnam Chemical Group.
