What are rights and obligations of the Vietnam National Chemical Group for guiding the activities of the Vietnam Chemical Industry Corporation?

In Clause 2, Article 67 of the Charter of organization and operation of the Vietnam National Chemical Group, issued together with Decree 20/2018/ND-CP, it is stipulated:

2. The Vietnam National Chemical Group uses the rights and obligations of the capital owner in the member enterprises and the rights of shareholders and members to coordinate and direct the activities of the Vietnam Chemical Industry Corporation:

a) Use the management and administration apparatus at Vietnam National Chemical Group or establish a separate department to research, plan strategies, propose solutions to coordinate and orient the activities specified in Clause 3. This is to submit to the Members' Council of Vietnam National Chemical Group for approval; through the representatives at member enterprises and affiliated companies to carry out the coordination and orientations specified in Clause 3 of this Article;

b) Approving the performance of economic contracts and association contracts with member enterprises and affiliated companies to coordinate and orient the activities of the Vietnam Chemical Industry Corporation;

c) Develop uniform regulations within the Vietnam Chemical Industry Corporation.

What do contents of coordination and orientation of Vietnam National Chemical Group comprise?

In Clause 3, Article 67 of the Charter of organization and operation of the Vietnam National Chemical Group, issued together with Decree 20/2018/ND-CP, contents of coordination and orientation of Vietnam National Chemical Group include:

a) Formulate and organize the implementation of development strategies and joint business cooperation plans of the Vietnam Chemical Industry Group; business strategy orientation of subsidiaries according to the development strategy; joint business coordination plan of the Vietnam Chemical Industry Group; formulating and organizing the implementation of regulations on management and administration and uniformly applied standards and norms in the Vietnam Chemical Industry Group;

b) Classification of member enterprises according to their position and importance in the general development strategy of the Vietnam Chemical Industry Group; determine the list of main lines of business, the list of key member enterprises ; orienting member enterprises according to main business lines and industries; manage and orient the representative to ensure the controlling right of Vietnam Chemical Group in key enterprises ;

c) Orientation of medium-term and long-term production and business plans of member enterprises;

d) Orientation on operation, investment, production and business targets; assignment, specialization, cooperation, access, expansion and sharing of markets, export, use of trademarks, trademarks, information services, scientific and technological research and application, training and other activities of member enterprises in accordance with the general policy of the Vietnam Chemical Industry Group;

dd) At least once a year, the Vietnam Chemical Group holds a meeting between the Vietnam Chemical Group and the legal representative of the subsidiaries, which may include the legal representative. of affiliated companies and companies voluntarily participating in the association for the Vietnam Chemical Group to disseminate and organize the implementation of the general business and development plan of the Vietnam Chemical Group;

e) Develop and implement regulations on management of trademarks and trademarks of Vietnam Chemical Industry Group; orientation on the common element in the proper names of member enterprises and affiliated companies;

g) Orientation on organization and staff for subsidiaries;

h) Orientation of the charter content, control the charter capital structure of the subsidiary;

i) Appoint a representative to participate in the management and administration of the subsidiary. Promulgating and implementing regulations on appointment, replacement , supervision and evaluation of the Representative's activities; stipulating issues that must be approved by the Vietnam Chemical Group before the Representative decides or participates in the decision at member enterprises and affiliated companies;

k) Acting as the focal point for gathering resources of member enterprises and affiliated companies for bidding and implementing joint projects agreed upon by member companies and affiliated companies, and perform;

l) Conduct and provide research, technology transfer, marketing, trade promotion and other services to member enterprises and affiliated companies;

m) Coordinate the formation, management and effective use of common funds; financial supervision and risk control; support financial activities for member enterprises of the Vietnam Chemical Industry Group when requested by these enterprises;

n) Coordinating administrative work, transactions with partners for member enterprises in the Vietnam Chemical Industry Group when requested by these enterprises; perform public utility tasks and work assigned by the State to the Vietnam Chemical Industry Group;

o) Establishing and connecting the information network of all member enterprises and affiliated companies in the Vietnam Chemical Industry Group;

p) Prepare consolidated financial statements of Vietnam Chemical Group and its subsidiaries;

q) Consult with member enterprises and affiliated companies in carrying out joint activities;

r) Organize the implementation of supervision, orientation, regulation and coordination among departments in the Vietnam Chemical Industry Group;

s) Other activities consistent with the characteristics of the Vietnam Chemical Industry Group, relevant laws, this Charter and its member enterprises and affiliated companies.
