- The enterprise is entitled to carry on lines of business not prohibited under regulations of laws;
- Prohibited lines of business are specified in Article 6 of the Law on investment and Clause 1 Article 1 of the Law on amendments to Article 6 and Appendix 4 on the list of conditional business lines of the Law on investment;
- Regarding conditional business lines, the enterprise is required to satisfy all business conditions as regulated. The list of conditional business lines is provided in the Appendix 4 enclosed with the Law on amendments to Article 6 and Appendix 4 on the list of conditional business lines of the Law on investment.
2 If the company has more than one legal representative, information about all legal representatives must be specified.
3, 4, 5 Members, founding shareholders, foreign shareholders and authorized representatives are not required to append their signatures to the list of members, the list of founding shareholders and the list of authorized representatives.
6 Particulars of Chief accountant/ person in charge of accounting in Item 12.2 are compulsory if the enterprise selects the independent accounting method at Item 12.4.
7 In case an accounting year is the calendar year, specify from January 01 to December 31. If an accounting year is the financial year other than the calendar year, specify the date of beginning of the accounting year which is the beginning date of the quarter, and the date of ending the accounting year which is the last date of the quarter; Total period from the beginning to the ending of an accounting year must be a full period of 12 consecutive months or 04 consecutive quarters.
8 Pursuant to the laws on VAT and based on its business plan, the enterprise chooses one of 04 VAT calculation methods in this item.
