Renaming a Business: Is a New Certificate of Business Registration Issued?
Based on the provisions of Clauses 1 and 2, Article 48, Decree 01/2021/ND-CP, it states:
- In the case of changing the enterprise's name, the enterprise shall submit a registration dossier for changing the enterprise registration content to the Business Registration Office where the enterprise's head office is located. The dossier includes the following documents:
+ Notice of change of enterprise registration content signed by the enterprise's legal representative;
+ Resolution, decision, and a copy of the minutes of the meeting of the Members' Council for a limited liability company with two or more members, a partnership company, of the General Meeting of Shareholders for a joint-stock company; the resolution, decision of the company owner for a one-member limited liability company regarding the enterprise's name change.
- After receiving the enterprise registration dossier, the Business Registration Office shall issue a Receipt Slip, check the validity of the dossier, and issue an Enterprise Registration Certificate to the enterprise if the registered enterprise name change does not violate the regulations on naming enterprises.
Thus, according to this provision, after registering the enterprise name change, your company will be issued a new Enterprise Registration Certificate.
