Number of Members in the Members' Council of a Single-Member Limited Liability Company: Is it Mandatory to Be an Odd Number?
Clause 1, Article 80 of the 2020 Law on Enterprises stipulates the following regarding the Members' Council of a single-member limited liability company:
The Members' Council shall consist of between 03 to 07 members. The company's owner appoints or dismisses the members of the Members' Council for a term not exceeding 05 years. The Members' Council represents the company's owner to exercise the rights and obligations of the company's owner; represents the company to exercise the rights and obligations of the company, except for the rights and obligations of the Director or General Director; and is responsible before the law and the company's owner for the performance of the rights and obligations assigned in accordance with the company's Charter, this Law, and other relevant legal provisions.
Thus, the Members' Council comprises between 03 to 07 members. The company's owner decides on the appointment of the number of members within this range. This regulation also does not require the number of members in the council to be odd, so it is possible to appoint 3, 4, 5, 6, or 7 members, depending on the company.
