Loss of Seal and Making a New Seal with a Different Template: Is Notification Required?

Our company has lost the seal but now we do not want to use the previous seal model anymore. If we create a different seal model, do we have to notify beforehand and then proceed? What must we do to be compliant?

Based on the guidance in Section 2 of Official Dispatch 9720/BKHDT-DKKD in 2015, for enterprises, branches, and representative offices using seals according to the provisions of the Enterprise Law of 2014 but have lost their seals:

In the case where an enterprise needs to change the seal template, before using the new seal template, the enterprise must send a notification to the business registration authority for public disclosure on the National Business Registration Portal as per regulations.

Thus, in the case where your company loses the seal and wants to create a new seal template without using the old one, there is no need to notify before making it. However, before using the new seal, the company must fulfill the procedure of notifying the change of seal template to the Business Registration Office - Department of Planning and Investment according to the Notification Form on the change of seal template in Appendix II-9 issued together with Circular 02/2019/TT-BKHDT.

Note: From 2021, when the Enterprise Law 2020 comes into effect, enterprises no longer need to notify the seal template to the business registration authority before use.
