Is There a Limit on the Number of Members in a Partnership Company?
Pursuant to Clause 1, Article 177 of the Law on Enterprises 2020, it is stipulated:
A partnership is an enterprise, in which:
a) There must be at least 2 members who are general partners owning the company together, conducting business under a common name (hereinafter referred to as general partners). In addition to general partners, the company may have additional capital-contributing members;
b) General partners must be individuals, liable with all their assets for the obligations of the company;
c) Capital-contributing members can be organizations or individuals and are only liable for the company's debts within the scope of the capital they have committed to contribute to the company.
For a partnership, there are two types of members: general partners and capital-contributing members. According to the Law on Enterprises, there is no limit to the number of either type of member in a partnership. Therefore, the number of members in a partnership is not restricted.
