Is it necessary to register when establishing a business location?
According to Clause 5, Article 45 of the Enterprise Law 2020:
Within 10 days from the date of deciding the business location, the enterprise shall notify the business location to the Business Registration Authority.
Thus, when deciding on a business location, the enterprise only needs to complete the procedure to notify the business location to the Business Registration Authority without needing to register as when establishing a branch or representative office.
Regarding the procedure, Clause 2, Article 31 of Decree 01/2021/ND-CP stipulates:
The enterprise can establish a business location at an address different from where the enterprise's headquarters or branch is located.
Within 10 days from the date of deciding to establish the business location, the enterprise sends a notice of establishing the business location to the Business Registration Office where the business location is situated.
The notice of establishing the business location shall be signed by the legal representative of the enterprise if the business location is under the enterprise or by the head of the branch if the business location is under the branch.
Within 03 working days from the date of receiving a valid dossier, the Business Registration Office updates the information about the business location in the national database on enterprise registration for the enterprise. If the enterprise requests it, the Business Registration Office issues a Certificate of Business Location Registration to the enterprise. If the dossier is not valid, the Business Registration Office will notify in writing the content that needs to be amended or supplemented to the enterprise.
