If enterprise has changed its name, is it possible to use the old seal in Vietnam?
The enterprise has changed its name (issued a business registration certificate with a new name) but has not yet completed making a new seal under its new name in Vietnam. In the time making a new seal, is the enterprise allowed to use the old seal to sign labor contracts with employees, deal with partners, apply for work permits for foreigners,...?
Pursuant to the provisions of Clause 3, Article 48 of Decree 01/2021/ND-CP, there are regulations on registration of change of enterprise’s name as follows:
3. The change of the enterprise’s name does not affect the enterprise’s rights and obligations.
Thus, according to the above regulation, the change of the enterprise’s name does not affect the enterprise’s rights and obligations in Vietnam. So in your case, your company is still allowed to use the old seal to sign labor contracts with employees, deal with partners, apply for work permits for foreigners,...
However, in order to avoid problems arising in the Company, you need to notify the parties involved in the transaction with your company in advance and quickly use the new seal.
