Guidance on Notification to the Business Registration Authority upon Changing Business Lines
Based on Point a Clause 1 Article 31 of the Enterprise Law 2020, enterprises must notify the Business Registration Authority when changing their business lines or sectors.
* Deadline for notifying changes in business lines or sectors: 10 days from the date of change. (Clause 2 Article 31 Enterprise Law 2020).
* Procedures:
Based on Article 56 of Decree 01/2021/ND-CP
- The enterprise sends a Notification to the Business Registration Office where the enterprise is headquartered. The enterprise registration dossier includes the following documents:
+ Notification of changes to enterprise registration details signed by the enterprise's legal representative;
+ Resolution, decision, and a copy of the meeting minutes of the Members' Council for a limited liability company with two or more members, partnership company, of the General Meeting of Shareholders for a joint-stock company; resolution, decision of the company owner for a single-member limited liability company regarding the change of business lines or sectors.
- After receiving the enterprise registration dossier, the Business Registration Office issues a Receipt, checks the validity of the dossier and the market access conditions for business lines or sectors with restricted market access for foreign investors in accordance with the investment law, updates the information on the enterprise's business lines or sectors in the National Database on Enterprise Registration. If requested by the enterprise, the Business Registration Office issues a Certificate of change in enterprise registration details to the enterprise.
