From 2021, Is Notification to the Business Registration Authority Required for Amendments to the Charter?
Clause 1, Article 30 of the Enterprise Law 2020 (Effective from January 01, 2021) stipulates:
Enterprises must register with the Business Registration Authority when changing the content of the Enterprise Registration Certificate as stipulated in Article 28 of this Law. Specifically:
The Enterprise Registration Certificate includes the following main contents:
Name of the enterprise and enterprise code;
Address of the enterprise's head office;
Full name, contact address, nationality, and number of legal documents of the individual regarding the legal representative of the limited liability company and joint stock company; for general partners of the partnership; for the owner of the private enterprise. Full name, contact address, nationality, and number of legal documents of the individual for members who are individuals; name, enterprise code, and address of the head office for members that are organizations for limited liability companies;
Charter capital for the company, investment capital for private enterprises.
Thus, when changing the charter, the enterprise is not necessarily required to notify the business registration authority, only when changing the content of the Enterprise Registration Certificate will this procedure be required.
