File for registration of changes in capital contribution ratio of members of a two-member limited liability company consists of what?
Based on the provisions of Clause 2, Article 51 of Decree 01/2021/ND-CP:
In the case where a limited liability company with two or more members registers to change the ratio of members' capital contributions, the company shall submit the dossier for registration of changes in the enterprise registration content to the Business Registration Office where the company’s head office is located. The dossier includes the following documents:
- Notification of change in enterprise registration content signed by the legal representative of the enterprise;
- List of members of the limited liability company with two or more members; in which the content declaration about capital-contributing members is not included. The lists must include the signatures of members whose capital contributions are changing; it is not mandatory to have the signatures of members whose capital contributions remain unchanged;
- Transfer contract or documents evidencing the completion of the transfer in case of transferring capital contributions; Gift contract in case of donating capital contributions;
- Document from the investment registration authority approving the capital contribution, share purchase, or purchased capital contribution of foreign investors, or economic organizations with foreign investment in cases where it is required to complete the procedure for registering capital contributions, share purchase, or capital contribution purchase according to the provisions of the Law on Investment.
Thus, the dossier for registration of changes in the ratio of members' capital contributions of a limited liability company with two or more members includes the documents mentioned above.
