Content of Request for Business Registration According to the New Regulations

Article 23 of the 2020 Enterprise Law (effective from January 1, 2021) stipulates that the Enterprise Registration Application includes the following main contents:

1. Name of the enterprise;

2. Address of the enterprise’s head office, phone number; fax number and email address (if any);

3. Business lines;

4. Charter capital; investment capital of the owner of the private enterprise;

5. Types of shares, par value of each type of share, and total number of shares authorized to be offered for each type of share for joint-stock companies;

6. Information on taxpayer registration;

7. Estimated number of employees;

8. Full name, signature, contact address, nationality, and legal document information of individuals for owners of private enterprises and general partners of partnerships;

9. Full name, signature, contact address, nationality, and legal document information of individuals for legal representatives of limited liability companies and joint-stock companies.

Currently, the Enterprise Registration Application includes similar contents as mentioned above according to Article 24 of the 2014 Enterprise Law.

However, the new regulations have some term changes for better alignment, such as replacing the number of employees with the estimated number of employees and permanent address with contact address.
