Change of Business Household Owner: Is a New Business Household Registration Certificate Issued?
According to the provisions of Clauses 3, 5, and 6, Article 90 of Decree 01/2021/ND-CP, the following applies:
- In the event of a change in the owner of a household business, the household business must submit a dossier notifying the change in business registration content to the district-level business registration office where the registration was made. The dossier includes the following documents:
+ Notification of change of household business owner signed by both the former and the new household business owners or signed by the new household business owner in case of change due to inheritance;
+ Sale contract or documents proving the completion of the sale in case of selling the household business; donation contract in case of donating the household business; a copy of the document confirming the legal inheritance rights of the heir in case of change due to inheritance;
+ A copy of the family members' meeting minutes regarding the change of household business owner in case the household business is registered by family members;
+ A copy of the authorization document from household members authorizing a member as the household business owner in case the household business is registered by family members.
After the sale, donation, or inheritance of the household business, the household business still holds responsibility for debts and other financial obligations arising before the transfer date, unless there is an agreement otherwise between the household business, the buyer, the donee, the heir, and the creditors of the household business.
- Upon receiving the dossier, the district-level business registration office issues a Receipt and grants the Household Business Registration Certificate within 3 working days from the date of receiving a valid dossier. In case the dossier is not valid, the district-level business registration office shall notify the household business in writing of the contents to be amended or supplemented within 3 working days from the date of receipt.
Within 3 working days from the date of issuing the Household Business Registration Certificate when the household business registers a change of its head office address, the district-level business registration office where the new address is located must notify the previous district-level business registration office of the change.
- When issued a new Household Business Registration Certificate in the case of registering a change in business registration content, the household business must return the old Household Business Registration Certificate.
Thus, when carrying out the procedure to register a change of household business owner, a new Household Business Registration Certificate will be issued.
