Chairman of the Members' Council as the Legal Representative of a Limited Liability Company with Two or More Members?
Based on Clause 3, Article 54 of the Enterprise Law 2020, the company's structure is stipulated as follows:
The company must have at least one legal representative who holds one of the positions of Chairman of the Members' Council, Director, or General Director. In case the company's Charter does not specify, the Chairman of the Members' Council shall be the legal representative of the company.
Thus, in the event the company's Charter does not specify, the Chairman of the Members' Council will be the legal representative of the company. If the Charter specifies otherwise, it shall be followed accordingly.
