Certificate of Investment Registration: Is It the Same as a Certificate of Business Registration?
According to Clause 6, Article 3 of the Investment Law 2014, an investment registration certificate is a document, either in written or electronic form, that records the investor's registration information regarding the investment project.
According to Clause 12, Article 4 of the Enterprise Law 2014, an enterprise registration certificate is a document or an electronic record issued by the Business Registration Authority to the enterprise, recording information about the enterprise registration.
Therefore, it shows us that currently, these two types of certificates are stipulated, adjusted by different laws, and the process of issuing and using these two types of certificates also differs. Thus, the Investment Registration Certificate is not an Enterprise Registration Certificate.
+ The investment registration certificate is issued to foreign investors when investing in Vietnam.
+ When foreign investors wish to establish an enterprise in Vietnam, they must apply for an investment registration certificate first, and then register the enterprise. For domestic investors, they only need to register the enterprise to obtain the enterprise registration certificate. (The investment registration certificate for foreign investors, as required by the Investment Law, is a mandatory document in the enterprise registration dossier for foreign investors.)
