What is the Investment Registration Certificate in Vietnam?

In Clause 11, Article 3 of the Investment Law 2020, there is a provision:

11. “investment registration certificate” means a physical or electronic document bearing information registered by an investor about an investment project.

What cases must carry out the procedures for issuing Investment Registration Certificates in Vietnam?

In Article 37 of the Investment Law 2020, there are cases in which it is necessary to carry out procedures for granting Investment Registration Certificates, specifically:

1. The investment registration certificate is required in the following cases:

a) Investment projects of foreign investors;

b) Investment projects of the business organizations mentioned in Clause 1 Article 23 of this Article.

2. Cases in which the investment registration certificate is not required:

a) Investment projects of domestic investors;

b) Investment projects of the business organizations mentioned in Clause 2 Article 23 of this Article;

c) Investment in the form of capital contribution, purchase of shares or stakes in a business organization;

3. Domestic investors and the business organizations mentioned in Clause 2 Article 23 of this Article shall execute the investment projects mentioned in Article 30, Article 31 and Article 32 of this Law after their investment guidelines are approved.

4. Any investor that wishes to obtain an investment registration certificate for an investment project prescribed in Point a or Point b Clause 2 of this Article shall follow the procedures in Article 38 of this Law.
