What are the issuing securities codes at the Vietnam Securities Depository Center (VSD)?

Article 4 of the Regulation on the activity of issuing domestic securities codes and international securities identification numbers at the Vietnam Securities Depository Center (VSD), issued together with Decision 106/QĐ-VSD in 2021, stipulates the principles for issuing securities codes at VSD as follows:

1. VSD issues securities codes for securities registered in concentration at VSD and open-end fund certificates upon receipt of a written request for code issuance from the issuer.

2. For debt instruments, secured warrants listed and traded on the Stock Exchange, VSD issues securities codes based on the securities registration dossier of the issuer.

3. For securities of state-owned enterprises being equitized, VSD issues securities codes upon receipt of the Bidding Application for Selling Shares at the organization that conducts the share auction (in case of auction)/Application for Selling Shares by the Book Building Method at the order management organization (in case of selling shares by the book building method) and accompanying documents from the equitization steering committee.

4. For the right to subscribe to additional securities, VSD issues securities codes for each issue of the right to subscribe based on the written document of the issuer announcing the closing of the list of shareholders exercising the right to subscribe.

5. Domestic securities codes for derivative securities traded on the derivatives market are carried out in accordance with the regulations of the Stock Exchange. VSD bases on the securities code issued by the Stock Exchange to issue the ISIN code according to the principle specified in Article 8 of Chapter II of this Regulation.

6. For other types of securities that have not been specified in this Regulation, VSD decides on the specific issuance of codes based on the laws, the actual situation, and the criteria set forth in Article 2 of Chapter I of this Regulation after obtaining the approval opinion of the State Securities Commission of Vietnam

What are principles for reserving and providing anticipated codes at VSD in Vietnam?

Article 5 of the Regulation on the activity of issuing domestic securities codes and international securities identification numbers at the Vietnam Securities Depository Center (VSD), issued together with Decision 106/QĐ-VSD in 2021, stipulates the principles for reserving and providing anticipated codes at VSD as follows:

1. VSD provides anticipated securities codes or reserves securities codes upon written request from the issuer.

2. For shares of public companies and equitized state-owned enterprises, VSD only considers approving the registration of stock code reservation once and the time for VSD to reserve the stock code is 6 months from the date of the VSD's written notification of approval.

3. For debt instruments, the time for VSD to reserve anticipated securities codes is 1 year from the date of the VSD's written notification of approval.

4. After the above reservation period, if the issuers do not register securities at VSD, VSD has the right to cancel the anticipated or reserved codes to be assigned to other issuers.

What are principles for canceling securities codes at VSD in Vietnam?

Clause 1 of Article 6 of the Regulation on the activity of issuing domestic securities codes and international securities identification numbers at the Vietnam Securities Depository Center (VSD), issued together with Decision 106/QĐ-VSD in 2021, stipulates the principles for canceling securities codes at VSD as follows:

1. Canceling securities codes

a. Securities codes that have been issued will be canceled in the event that the issuer cancels the registration of securities.

b. When the issuer cancels the registration of securities, VSD will cancel the domestic securities codes and ISIN codes of those organizations.

c. Securities codes for each issue of the right to subscribe will expire after the end of the time period for transferring the right to subscribe and registering for subscription.

d. Domestic securities codes and ISIN codes of secured warrants will be canceled when secured warrants are canceled from registration at VSD.

dd. Securities codes and ISIN codes of securities traded on the derivatives market will be canceled when they expire or are delisted at the decision of the Stock Exchange.

e. Securities codes of equitized state-owned enterprises will be canceled in the event that they do not meet the conditions for organizing an auction/selling shares by the book building method or the auction/selling shares by the book building method is unsuccessful.
