Procedure for Reissuing Securities Practice Certificate
Legal Basis: Circular 197/2015/TT-BTC; Circular 25/2022/TT-BTC.
1. Cases for reissuance:
- The securities practice certificate is revoked due to failure to meet the conditions for issuance of a securities practice certificate or not practicing securities for three consecutive years, or if it is damaged or lost;
- Change in personal identification information of the practitioner recorded in the securities practice certificate (such as ID card number, passport number, nationality, full name, date of birth).
2. Application documents for reissuance:
For cases where the securities practice certificate is revoked due to failure to meet the conditions for issuance of a securities practice certificate or not practicing securities for three consecutive years, the application documents for reissuance shall include:
- Application form for the issuance of the Fund Management Practice Certificate (as per the form prescribed in Appendix I of Circular 197/2015/TT-BTC);
- Personal information form of the applicant for the Fund Management Practice Certificate verified by the organization employing the securities practitioner or certified by the competent authority (as per the form prescribed in Appendix II of Circular 197/2015/TT-BTC) within six (06) months until the State Securities Commission receives the application;
- Judicial record certificate issued by the competent authority within six (06) months until the State Securities Commission receives the application, accompanied by a valid copy of the ID card or passport;
- Certified copy of the bachelor's, master's, or doctoral degree;
- Certified copy of the legal securities practice certificate obtained abroad or equivalent documents proving the individual is legally allowed to practice securities abroad (if any);
- Certified copy of professional certificates on securities or exempted documents according to clause 4 Article 4 of Circular 197/2015/TT-BTC as follows:
+ Individuals with an international CIIA (Certified International Investment Analyst) certificate or confirmation of passing the CFA International Level II exam (Chartered Financial Analyst level II) or higher are exempted from the Basic Issues of Securities and Securities Market certificate, Investment Analysis and Securities certificate, Financial Statements Analysis certificate;
+ Individuals with ACCA (Association of Chartered Certified Accountants) international certificate, CPA (Certified Public Accountants) or auditor certificate, accounting practice certificate issued by the Ministry of Finance or confirmation of passing CFA International Level I exam (Chartered Financial Analyst level I), CIIA Level I (Certified International Investment Analyst level I) are exempted from the Basic Issues of Securities and Securities Market certificate, Financial Statements Analysis certificate;
+ Individuals with a legal securities practice certificate obtained abroad or equivalent documents proving the individual is legally allowed to practice securities abroad are exempted from all professional securities certificates.
- Notification from the State Securities Commission on the examination results corresponding to the type of securities practice certificate applied for;
- Two (02) 4cm x 6cm photos taken within six (06) months until the State Securities Commission receives the application;
- For cases requesting reissuance of a fund management practice certificate, additionally include:
+ Document confirming the working years, job position of the applicant for the securities practice certificate provided by the organizations where the applicant has worked or is working; or
+ Certified copy of international certificates CFA, CIIA, ACCA, CPA.
For cases where the securities practice certificate is lost, damaged, or has changes in the personal identification information, the application documents for reissuance shall include:
- Application form for reissuance of the securities practice certificate (as per the form prescribed in Appendix III of Circular 197/2015/TT-BTC);
- Valid copy of the ID card or passport;
- Two (02) 4cm x 6cm photos taken within six (06) months until the State Securities Commission receives the application;
- The previously issued securities practice certificate by the State Securities Commission, unless applying for reissuance due to loss of the certificate.
3. Issuance procedure:
- Initially, the applicant submits one (01) application directly at the State Securities Commission or via postal service.
Note:
+ For postal submissions, copies must be certified true copies or copies issued from the main register. The application for reissuance of the securities practice certificate is non-refundable, even if the certificate is not reissued.
+ If the documents are in a foreign language, they must be translated and certified into Vietnamese by authorized organizations in accordance with Vietnamese law. For foreign applicants requesting reissuance of the securities practice certificate, documents issued or confirmed by foreign competent authorities must be consular legalized within six (06) months until the State Securities Commission receives the application.
- Subsequently, within seven (07) days from the receipt of a complete application, the State Securities Commission issues a decision on reissuance of the securities practice certificate and notifies the applicant to pay the fee. In case of refusal, the State Securities Commission must provide a written response specifying the reason.
Furthermore, if the application is incomplete, within five (05) working days from receiving the application, the State Securities Commission notifies the applicant to amend and supplement the documents. The applicant must complete the application within sixty (60) days from the notification of the State Securities Commission. After this period, the previously submitted application loses its validity.
Note:
Within three (03) years from the State Securities Commission’s notification of reissuance fee payment, if the reissued securities practice certificate is not collected, the State Securities Commission issues a decision to cancel the reissued certificate.
4. Reissuance authority: State Securities Commission.
5. Processing time: 07 days.
6. Reissuance fee: 01 million VND per issuance.
7. Validity of the Certificate: indefinite.
