Principles for Bond Issuance and Utilization
According to Article 5 of Decree 153/2020/ND-CP, the principles of bond issuance and capital use are regulated as follows:
- Enterprises issue bonds based on the principle of self-borrowing, self-repayment, and self-responsibility for the efficiency of capital use and ensuring debt repayment capability.
- The purposes of bond issuance include: implementing programs and investment projects; increasing operational capital scale; restructuring the enterprise's own capital or issuing bonds for purposes governed by specialized law. Enterprises must specify the issuance purpose in the issuance plan as regulated in Article 13 of this Decree and disclose information to investors registering to purchase bonds. The use of capital mobilized from bond issuance by enterprises must ensure the alignment with the purposes outlined in the issuance plan and the disclosed information content for investors.
- For green bond issuance, in addition to the provisions in clauses 1 and 2 of this Article, the capital from bond issuance must be accounted for, managed, tracked separately, and disbursed for projects in the field of environmental protection, projects bringing environmental benefits as per the approved issuance plan.
