Limited Liability Company shall not be authorized to issue bonds
Based on Clause 2, Article 18 of Decree 163/2018/ND-CP stipulates as follows:
- For convertible bonds or bonds with warrants:
a) The issuing enterprise is a joint-stock company that meets the issuance conditions stipulated in Clause 1 of this Article;
b) Complies with regulations on the ownership ratio of foreign investors according to current law;
c) The issuance of convertible bonds must be at least six months apart.
Thus, it can be seen that a limited liability company (LLC) is not allowed to issue convertible bonds.
