How to Withdraw Securities Due to Deregistration at the Vietnam Securities Depository?

1. How to withdraw securities due to deregistration at the Vietnam Securities Depository?

Based on Article 15 of the Securities Operation Regulations issued with Decision 114/QD-VSD in 2021, the withdrawal of securities due to deregistration at the Vietnam Securities Depository is regulated as follows:

1. The withdrawal of securities due to deregistration is carried out after the issuing organization (TCPH) completes the securities deregistration at VSD in accordance with the regulations on registration and transfer of securities ownership of VSD.

2. In cases where the securities depository accounts of the depository members (TVLK) have quantities of securities that are temporarily held or frozen, VSD will notify the related TVLK (Form 17/LK of this Regulation).

3. On the effective date of the securities deregistration decision, VSD will automatically account for the reduced quantity of the deregistered securities on the accounts of the related TVLK/TCMTKTT at VSD and notify the TVLK/TCMTKTT. The effective date of the securities withdrawal due to deregistration is the date recorded on the Confirmation of Securities Withdrawal issued by VSD to TVLK/TCMTKTT (Form 18/LK of this Regulation). TVLK/TCMTKTT are responsible for accounting for the reduced quantity of the deregistered securities on the depository accounts at TVLK/TCMTKTT and notify the related investors (for TVLK).

2. What are the cases of transferring deposited securities associated with ownership transfer at the Vietnam Securities Depository?

According to Article 16 of the Securities Operation Regulations issued with Decision 114/QD-VSD in 2021, the cases of transferring deposited securities associated with ownership transfer at the Vietnam Securities Depository are regulated as follows:

VSD executes the transfer of deposited securities outside the securities trading system associated with ownership transfer for the cases stipulated at Clause 2, Article 6 of Circular 119/2020/TT-BTC.

3. How is the transfer due to odd-lot securities purchasing transactions at the Vietnam Securities Depository carried out?

Article 17 of the Securities Operation Regulations issued with Decision 114/QD-VSD in 2021 regulates the transfer due to odd-lot securities purchasing transactions at the Vietnam Securities Depository as follows:

1. VSD executes the transfer of odd-lot securities in cases where the securities company repurchases odd-lot shares from securities holders outside the trading system in accordance with legal regulations.

2. The transferring TVLK submits to VSD the dossier for the transfer of odd-lot securities, which includes:

a. Request for securities transfer (Form 20/LK of this Regulation) (03 copies for cases of transfer to another TVLK; 02 copies for cases of transfer within the same TVLK);

b. Contract/Order form for the purchase and sale of odd-lot securities between the securities company and the customer;

c. List of securities transactions for odd-lot securities (in cases where the securities company purchases odd-lot securities from multiple customers) (Form 19/LK of this Regulation).

3. In cases where the securities company purchases odd-lot securities through online transactions, the transfer dossier includes:

a. The documents prescribed at points a, c of Clause 2 of this Article;

b. Commitment letter, confirmation from TVLK regarding the customer's agreement on online odd-lot securities transactions with TVLK.

4. The time for VSD to process the odd-lot securities transfer dossier is 01 working day from the date of receipt of a complete and valid dossier.
