Authority of the General Meeting of Shareholders in a Public Company?
Pursuant to Article 272 of Decree 155/2020/ND-CP on jurisdiction as follows:
The General Meeting of Shareholders shall have jurisdiction according to the provisions of the Enterprise Law.
Matters that were approved at previous Resolutions of the General Meeting of Shareholders but have not yet been implemented, the Board of Directors must report to the General Meeting of Shareholders at the nearest annual meeting. In the event of any changes in matters within the decision-making authority of the General Meeting of Shareholders, the Board of Directors must submit such changes to the General Meeting of Shareholders at the nearest meeting for approval before implementation.
