What are the instructions for making purchase orders in Vietnam?
- Information on the purchase order is fully and detailed about the purchase order demand in terms of quantity, and unit price and calculated into corresponding money. Along with it, the place and time of delivery are also specified by the purchase ordering party to serve as the basis for delivery and payment according to the needs of the buyer.
- Item information: the purchase order is definitely indispensable for information about the item. - Time and place of delivery: the purchase order needs to clearly state the time and place of delivery requested by Party B, and in the purchase order the address must be written accurately, house number, alley, alley ... so that Party A knows the exact information and delivers the goods as quickly as possible. The time interval is also required by Party B. Pursuant to Clause 1 Article 2 of Circular 39/2015/TT-BTC as follows:
“Goods sale contract” means an agreement on goods trading established in writings or in an equivalent form including telegram, telex, fax or informational message. According the contract, the seller shall deliver goods, transfer the ownership of goods to the buyer and collect payment; the buyer shall pay the seller the cost, receive goods and the ownership of goods according to the agreement; goods are transferred from the seller to the buyer, through checkpoint, Vietnam’s border or from free trade zone to inland market and vice versa.
Thus, pursuant to the above provisions, the purchase order, although it is an agreement between the buyer and the seller, is not considered a substitute form for the goods sale contract”.
What are the provisions on goods sale contracts in Vietnam?
Pursuant to the provisions of Clause 8, Article 3 of the 2005 Commercial Law as follows:
Purchase and sale of goods mean commercial activities whereby the seller is obliged to deliver goods, transfer ownership of goods to the buyer and receive payment; the buyer is obliged to pay to the seller and receive goods and the ownership thereof as agreed.
In addition, according to the provisions of Article 24 of the 2005 Commercial Law stipulating the form of goods sale contracts, specifically as follows:
Forms of goods sale contracts
1. Goods sale contracts may be expressed in verbal or written form or established by specific acts.
2. For types of goods sale contracts, which, as provided for by law, must be made in writing, such provisions must be complied with.
Pursuant to the provisions of Article 430 of the Civil Code 2015 as follows:
Sale contract of property
Sale contract means an agreement between parties whereby a seller is obligated to transfer the ownership rights of property to the buyer and the buyer is obligated to make a payment to the seller.
Sale contracts of houses or sale contracts of houses for other purposes shall comply with this Code, the Law on Housing and relevant laws.
Thus, pursuant to the above-mentioned provisions, a goods sale contract is a form of sale contract of property.
Accordingly, goods sale contracts are made based on the agreement of the parties. the seller is obliged to deliver goods, transfer ownership of goods to the buyer, and receive payment; the buyer is obliged to pay to the seller and receive goods and the ownership thereof as agreed.
Goods sale contracts can be expressed orally, in writing, or established by specific acts.
