The Procedure for Extending the Certificate of Registration for Multi-Level Marketing Activities
Based on the provisions of Sub-section 5, Section A, Part 2 Administrative Procedures issued together with Decision 1299/QD-BCT of 2023, the procedure for extending the Certificate of Registration for Multi-Level Marketing Activities is as follows:
- Step 1: At least 03 months before the Certificate of Registration for Multi-Level Marketing Activities expires, the multi-level marketing enterprise must complete the procedure for extending the certificate.
- Step 2: The enterprise applying for the extension of the multi-level marketing certificate must submit 01 set of documents as prescribed in Article 9 of Decree 40/2018/ND-CP(including electronic files in ".doc" or ".docx" format for documents stipulated in Clause 4, Article 9 of Decree 40/2018/ND-CP and in ".xls" or ".xlsx" format for documents stipulated in Clause 5, Article 9 of Decree 40/2018/ND-CP) to the Office of the National Competition Commission (5th Floor, 25 Ngo Quyen - Hoan Kiem, Hanoi) at least 03 months before the certificate expires.
- Step 3: Receive and check the completeness and validity of the dossier: Within 05 working days from the date of receiving the dossier, the National Competition Commission checks the completeness and validity of the dossier. If the dossier is incomplete or invalid, the National Competition Commission informs the enterprise to amend and supplement the dossier within 30 days.
In case the dossier is complete and valid, the National Competition Commission proceeds with appraisal.
If the multi-level marketing enterprise does not amend or supplement the dossier as requested within 30 days from the date the National Competition Commission issues a notice to amend and supplement the dossier, the Commission returns the dossier to the enterprise.
- Step 4: Appraisal of the dossier:
After receiving a complete and valid dossier, the National Competition Commission informs the enterprise to pay the appraisal fee. The Commission returns the dossier if the enterprise does not pay the appraisal fee within 30 days from the date of issuing the notification;
The National Competition Commission appraises the dossier within 20 working days from the date of receiving the appraisal fee.

Based on the provisions of Sub-section 5, Section A, Part 2 Administrative Procedures issued together with Decision 1299/QD-BCT of 2023, the fee for extending the Certificate of Registration for Multi-Level Marketing Activities is 5 million VND.
Requirements and Conditions for Extending the Certificate of Registration for Multi-Level Marketing Activities
Based on the provisions of Sub-section 5, Section A, Part 2 Administrative Procedures issued together with Decision 1299/QD-BCT of 2023, the requirements and conditions for extending the Certificate of Registration for Multi-Level Marketing Activities are as follows:
- Must be an enterprise established in Vietnam according to the law and never had its certificate of registration for multi-level marketing activities revoked;
- Must have a charter capital of at least 10 billion VND or more;
- Members in the case of a partnership; the owner in the case of a private enterprise or a single-member limited liability company, members in the case of a limited liability company with two or more members, founding shareholders in the case of a joint-stock company, and legal representatives of the enterprise must not include any organization or individual who has ever held any of the above-mentioned positions in a multi-level marketing enterprise whose certificate of registration was revoked according to the provisions of Decree 42/2014/ND-CP and Decree 40/2018/ND-CP;
- Must have a deposit at a commercial bank or a branch of a foreign bank in Vietnam of 5% of the charter capital but not less than 10 billion VND;
- Must have a sample contract for participation in multi-level marketing, operating rules, a clear and transparent reward plan, and a basic training program in accordance with the provisions of Decree 40/2018/ND-CP;
- Must have an information technology system to manage the network of participants in multi-level marketing, and an electronic information page to provide information about the enterprise and its multi-level marketing activities;
- Must have a communication system to receive and resolve inquiries and complaints from participants in multi-level marketing.
- In case the organization registering for multi-level marketing activities is an enterprise with foreign investors or an economic organization with foreign-invested capital as an owner, member, or shareholder, all foreign investors and foreign-invested economic organizations must have actual multi-level marketing activities for at least 03 consecutive years in one country or territory in the world.
