What is the content of the announcement of enterprise registration in Vietnam?
Pursuant to the provisions in Article 32 of the Law on Enterprise 2020 as follows:
Publishing of enterprise registration information
1. After an enterprise is granted the Certificate of Enterprise Registration, it shall announce it on the National Enterprise Registration Portal and pay the fee as prescribed by law. The announcement shall include the content of the Certificate of Enterprise Registration and:
a) The enterprise’s business lines;
b) The list of founding shareholders and foreign shareholders (for joint stock companies).
2. Any change to enterprise registration information shall be announced on the National Enterprise Registration Portal.
3. The information mentioned in Clause 1 and Clause 2 of this Article shall be published for 30 days.
Thus, according to the above regulations, The announcement shall include the content of the Certificate of Enterprise Registration and:
- The enterprise’s business lines;
- The list of founding shareholders and foreign shareholders (for joint stock companies).

Are there penalties for violations against regulations on publishing enterprise registration information in Vietnam?
Pursuant to Article 45 of Decree 122/2021/ND-CP stipulating penalties for violations against regulations on publishing enterprise registration information, specifically as follows:
Violations against regulations on publishing enterprise registration information
1. A fine ranging from VND 10,000,000 to VND 15,000,000 shall be imposed for any of the following violations:
a) Failure to publish enterprise registration information on the National Business Registration Portal;
b) Publishing enterprise registration information on the National Business Registration Portal behind schedule.
2. Remedial measures: The violator is compelled to publish the enterprise registration information on the National Business Registration Portal behind schedule if the violation specified in Point a Clause 1 of this Article is committed.
At the same time, Article 4 of Decree 122/2021/ND-CP has the following provisions:
Fines
1. Maximum fines for administrative violations specified in this Decree are as follows:
a) The maximum fine for an administrative violation against regulations on investment: VND 300,000,000;
b) The maximum fine for an administrative violation against regulations on bidding: VND 300,000,000;
c) The maximum fine for an administrative violation against regulations on enterprise registration: VND 100,000,000;
d) The maximum fine for an administrative violation against regulations on planning: VND 500,000,000.
2. The fines for administrative violations specified in this Decree are imposed upon organizations (except for the fines for violations specified in Point c Clause 2 Article 28; Points a and b Clause 2 Article 38; Article 62 and Article 63 of this Decree, which are imposed upon individuals). For the same violation, the fine incurred by an individual is 1/2 (half) that incurred by an organization.
Accordingly, the fines for administrative violations specified in this Decree are imposed upon organizations. For the same violation, the fine incurred by an individual is 1/2 (half) that incurred by an organization.
Thus, for failure to publish enterprise registration information on the National Business Registration Portal, it may be fined from 10 - 15 million VND.
