In 2024, what is the fee for issuing a MLM registration certificate in Vietnam?

Currently, the fee for issuing a MLM registration certificate in 2024 is specified in Clause 1, Article 4 of Circular 156/2016/TT-BTC:

Fee rates
1. The fee for processing applications for the MLM registration certificate shall be provided for as follows:
- Issuance or renewal of a MLM registration certificate: VND 5,000,000/application.
- Modification of the MLM registration certificate: VND 3,000,000/application.

On February 25, 2024, the Minister of Finance issued Circular 09/2024/TT-BTC prescribing fees for processing of applications for multi-level marketing registration certificates, collection, transfer, management and use thereof.

Under Article 4 of Circular 09/2024/TT-BTC, the fees for processing applications for the MLM registration certificate in Vietnam are specified as follows:

Fees for processing of applications for multi-level marketing registration certificates are provided for as follows:
1. Regarding applications for issuance or renewal of multi-level marketing registration certificates: VND 5.000.000/application.
2. Regarding applications for modification of multi-level marketing registration certificates: VND 3.000.000/application.

Accordingly, the fee for issuing a MLM registration certificate in 2024 is 5,000,000 VND.

Under Article 7 of Circular 09/2024/TT-BTC, Circular 09/2024/TT-BTC whii come into force from March 21, 2024.

Thus, the fee for issuing a MLM registration certificate in 2024 of 5,000,000 VND will be applied from March 21, 2024.

What are the goods that cannot be sold through the MLM business model in Vietnam?

Under Article 4 of Decree 40/2018/ND-CP (with the phrase replaced by Clause 7, Article 147 of Decree 96/2023/ND-CP) on the subject of multi-level marketing in Vietnam as follows:

Subject of the multi-level marketing
1. The MLM business model is used to sell products only. Any business activities carried out in the form of MLM regarding a subject other than commodities are prohibited unless otherwise prescribed by law.
2. The following goods cannot be sold through the MLM business model:
a) Medicines; medical devices; veterinary drugs (including veterinary drugs used in aquaculture); pesticides; insecticidal and germicidal chemicals and preparations which are restricted or banned from household and medical use; other hazardous chemicals;
b) Digital content products.

Thus, the goods that cannot be sold through the MLM business model in Vietnam include:

- Medicines;

- Medical devices;

- Veterinary drugs (including veterinary drugs used in aquaculture);

- Pesticides; insecticidal and germicidal chemicals and preparations which are restricted or banned from household and medical use; other hazardous chemicals;

- Digital content products.

What are the cases of termination of multi-level marketing activities in Vietnam?

Under Article 17 of Decree 40/2018/ND-CP on termination of multi-level marketing activities in Vietnam as follows:

Termination of multi-level marketing activities
1. Cases where MLM activities are terminated:
a) The MLM registration certificate expires without renewal as regulated in Article 14 herein;
b) The MLM company terminates MLM activities at its own will;
c) The MLM registration certificate is revoked by the competent authority.
2. When terminating MLM activities, the MLM company shall:
a) Send a written notification of termination of MLM activities to the Ministry of Industry and Trade, post up the notice thereof at its head office, branches, representative offices and business locations, and on its website;
b) Terminate or finalize MLM contracts and solve benefits for MLM participants in accordance with law regulations on MLM management;
c) Fulfill obligations specified in the decision given by a competent authority on penalties for violations against regulations on MLM activities.

Thus, the cases where MLM activities are terminated include:

- The MLM registration certificate expires without renewal as regulated in Article 14 Decree 40/2018/ND-CP;

- The MLM company terminates MLM activities at its own will;

- The MLM registration certificate is revoked by the competent authority.

Circular 09/2024/TT-BTC whii come into force from March 21, 2024.
