According to Clause 1, Article 7 of the Law on Higher Education 2012 (amended by Clause 4, Article 1 of the Amended Law on Higher Education 2018), the provisions are as follows:

Higher education institutions

1. Higher education institutions are juridical persons, including universities, parent universities and other types of higher education institutions defined by law.

National universities and regional universities are parent universities responsible for achievement of strategic national and regional development objectives.

- Universities;

- Parent universities and other types of higher education institutions defined by law.

What are forms of organization of higher education institutions in Vietnam?

According to Clause 2, Article 7 of the Law on Higher Education 2012 (amended by Clause 4, Article 1 of the Amended Law on Higher Education 2018), the forms of organization of higher education institutions in Vietnam include:

- Public higher education institutions invested, maintained and represented by the State as the owner;

- Private higher education institutions invested and maintained domestic or foreign investors.

A non-profit higher education institution is one in which the investor declare that the institution does not run for profit as written in the decision to permit its establishment or conversion;

The investor will not withdraw capital or receive dividends; the annual accumulated profit shall be considered non-distributable property and will be used as reinvestment in such institution.

What are procedures for converting a private higher education institution to a non-profit private higher education institution in Vietnam?

According to Article 3 of Decree 99/2019/ND-CP, the procedures for converting a private higher education institution to a non-profit private higher education institution in Vietnam is as follows:

Step 1: Submit the dossier

The higher education institution submits 01 dossier directly or via postal service along with a soft copy to the Ministry of Education and Training or through the online public service portal of the Ministry of Education and Training.

The conversion dossier includes:

- A proposal to convert the private higher education institution to a non-profit private higher education institution, clearly stating:

+ The necessity of the conversion;

+ The non-profit operational principles and purposes;

+ The contributed capital, part of the indivisible common ownership assets of the private higher education institution (if any);

- A commitment document from investors representing at least 75% of the total contributed capital for the private higher education institution to be converted to a non-profit higher education institution, ensuring non-profit operations, non-capital withdrawal, non-dividend enjoyment; the annually accumulated profit belongs to the indivisible unified ownership to continue investing in developing the private higher education institution;

- Draft regulations on the organization and operations; draft internal financial regulations of the non-profit private higher education institution;

- Other supporting documents, including:

+ Audit results report, agreement on settling contributed capital for investors who do not agree to convert to a non-profit higher education institution (if any);

+ Documents and materials related to land, assets, finance, organization, and personnel of the private higher education institution to be converted to a non-profit private higher education institution;

- Evaluation of the impact of the conversion on personnel, finances, assets, and handling plans;

- Decision to establish the private higher education institution, the decision to recognize the current school council, the decision to recognize the current principal of the private higher education institution, and other relevant documents (if any).

Step 2:

Within 30 working days from the receipt of the complete dossier, the Ministry of Education and Training organizes the appraisal of the dossier and submits it to the Prime Minister of the Government of Vietnam for decision;

In case the dossier does not conform to the regulations, within 10 working days from the receipt of the dossier, the Ministry of Education and Training sends a written notice to the private higher education institution specifying the reasons.
