What information must the bond-issuing enterprise register with the Vietnam Securities Depository and Clearing Corporation?
Based on Clause 1, Article 6 of Circular 30/2023/TT-BTC, this content is regulated as follows:
Registration, deregistration, and management of private corporate bond information
1. The bond-issuing enterprise must register with the Vietnam Securities Depository and Clearing Corporation (VSDC) the private corporate bond information in Appendix I issued with this Circular, including:
a) Information about the enterprise;
b) Information about the private corporate bonds;
c) Information about the holders of private corporate bonds.

The bond-issuing enterprise must register with the Vietnam Securities Depository and Clearing Corporation (VSDC) the private corporate bond information, including:
- Information about the enterprise;
- Information about the private corporate bonds;
- Information about the holders of private corporate bonds.

When will VSDC adjust information related to the number of bonds held by investors?
Based on Clause 3, Article 6 of Circular 30/2023/TT-BTC, this content is regulated as follows:
Registration, deregistration, and management of private corporate bond information

3. The Vietnam Securities Depository and Clearing Corporation will adjust information related to the number of bonds held by investors in the following cases:
a) The bond-issuing enterprise makes a mistake in updating transfer information in the Register of bondholders registered with the Vietnam Securities Depository and Clearing Corporation for transactions transferred before the cutoff date for registration, and ownership transfer has been confirmed according to legal regulations;
b) The bond-issuing enterprise enters incorrect information about the number of bonds held by the bondholders during the preparation of the bondholder register;
c) The bondholder changes identification information or due to errors in updating identification information of bondholders by the bond-issuing enterprise, depository members with the Vietnam Securities Depository and Clearing Corporation.
VSDC will adjust information related to the number of bonds held by investors when:
- The bond-issuing enterprise makes a mistake in updating transfer information in the Register of bondholders registered with the Vietnam Securities Depository and Clearing Corporation for transactions transferred before the cutoff date for registration, and ownership transfer has been confirmed according to legal regulations;
- The bond-issuing enterprise enters incorrect information about the number of bonds held by the bondholders during the preparation of the bondholder register;
- The bondholder changes identification information or due to errors in updating identification information of bondholders by the bond-issuing enterprise, depository members with the Vietnam Securities Depository and Clearing Corporation.
When will private corporate bonds be deregistered for trading by VSDC?
Based on Clause 6, Article 6 of Circular 30/2023/TT-BTC, this content is regulated as follows:

6. The Vietnam Securities Depository and Clearing Corporation deregisters private corporate bonds in cases where bonds are deregistered for trading according to Clause 13, Article 1 of Decree No. 65/2022/ND-CP.
Referring to Clause 13, Article 1 of Decree 65/2022/ND-CP, cases of bond deregistration include:
- Bonds reach maturity or the bond-issuing enterprise converts, repurchases, or swaps all bonds before maturity;
- The bond-issuing enterprise's business registration certificate or license for establishment and operation in specialized fields is revoked;
- The stock exchange discovers that the bond-issuing enterprise has falsified trading registration documents or falsified documents to change trading registration;
- The bond-issuing enterprise ceases to exist due to dissolution or bankruptcy or carries out corporate division or separation.
Circular 30/2023/TT-BTC will take effect from July 1, 2023.
