In 2025, the latest Decree on business registration in effect is Decree 01/2021/ND-CP of the Government of Vietnam.
Decree 01/2021/ND-CP provides detailed regulations on dossiers, procedures, enterprise registration processes; household business registration; and regulates the Business Registration Agency and the state management of enterprise and household business registration.
The integration of procedures for enterprise establishment registration, branches, representative offices, labor usage declaration, social insurance participation unit code issuance, and enterprise invoice usage registration is implemented following the regulations in the Government of Vietnam's decree on coordinating and integrating procedures for registration of enterprise establishment, branches, representative offices, labor usage declaration, social insurance participation unit code issuance, and enterprise invoice usage registration.

The founders of the enterprise or the enterprise itself must self-declare the enterprise registration dossier and bear legal responsibility for the legality, truthfulness, and accuracy of the information declared in the registration dossier and reports.
In the case of a limited liability company and a joint-stock company with more than one legal representative, the legal representative performing the enterprise registration procedures must ensure and be responsible for performing their duties and obligations correctly as stipulated in Clause 2, Article 12 of the Law on Enterprises.
The business registration agency is accountable for the validity of the enterprise registration dossier, but is not responsible for any legal violations of the enterprise occurring before and after the enterprise registration.
The business registration agency does not settle disputes between company members or shareholders or between the enterprise and other organizations or individuals.
Enterprises are not required to affix seals on the application for enterprise registration, notice of changes to enterprise registration content, resolutions, decisions, and meeting minutes in the enterprise registration dossier. Sealing of other documents in the enterprise registration dossier is conducted in accordance with relevant laws.
Based on Articles 7 and 8 of the Law on Enterprises 2020, the rights and obligations of enterprises are stipulated as follows:
Freedom to engage in business sectors and trades not prohibited by law.
Autonomy in business operations and in choosing the form of business organization; proactive in choosing the sector, trade, location, and form of business; proactive in adjusting the scale and industry of business.
Choice of form, method of capital mobilization, distribution, and usage.
Freedom to seek markets, customers, and enter into contracts.
Export and import business operations.
Recruit, hire, and use labor in compliance with labor laws.
Actively apply science and technology to improve business efficiency and competitiveness; intellectual property rights are protected under intellectual property laws.
Possess, use, and dispose of the enterprise's assets.
Refusal of requests from agencies, organizations, or individuals regarding the provision of resources not stipulated by law.
File complaints, participate in litigation according to legal provisions.
Other rights as stipulated by law.
Meeting investment business conditions when engaging in conditional investment and business trades; conditional access trades for foreign investors according to law, and ensure maintaining these conditions throughout business operations.
Fulfill promptly registration obligations related to enterprises, register changes in enterprise registration content, disclose information about enterprise establishment and operations, and reporting and other obligations according to the Law.
Be responsible for the truthfulness and accuracy of information declared in the enterprise registration dossier and reports; if false or incomplete information is found, promptly amend and supplement such information.
Organize accounting work, pay taxes, and fulfill other financial obligations according to the law.
Ensure the legitimate rights and interests of employees under the law; do not discriminate, insult the honor or dignity of employees within the enterprise; do not mistreat, force labor, or unlawfully employ minors; support and create conditions for employees to participate in training to improve their professional skills; implement policies, social insurance benefits, unemployment insurance, health insurance, and other insurance as required by law.
Other obligations as prescribed by law.
