1. Guidance on the establishment and operation of VSE and its subsidiaries

Article 43 of the Law on Securities 2019 regulates the establishment and operation of VSE and its subsidiaries as follows:

- The Vietnam Stock Exchange is an enterprise established and operating under the regulations of the Law on Securities 2019 and the Enterprise Law 2020, with the state holding over 50% of the charter capital or the total voting shares.

- The Prime Minister of the Government of Vietnam decides on the establishment, dissolution, operating model, form of ownership, functions, rights, and obligations of the Vietnam Stock Exchange and the establishment of its subsidiaries, upon the proposal of the Minister of Finance.

- The Vietnam Stock Exchange and its subsidiaries shall be managed and supervised by the State Securities Commission.

2. Organizational structure of the Vietnam Stock Exchange

- The Prime Minister of the Government of Vietnam decides on the management structure of the Vietnam Stock Exchange in accordance with the Law on Securities 2019, the Enterprise Law 2020, and other relevant legal provisions.

- The Chairman of the Members' Council or the Board of Directors, the General Director (Director) of the Vietnam Stock Exchange are approved or appointed and dismissed by the Minister of Finance upon the proposal of the Members' Council or the Board of Directors of the Vietnam Stock Exchange and the opinion of the Chairman of the State Securities Commission.

- The rights and duties of the Members' Council or the Board of Directors, the General Director (Director), and the Supervisory Board (Supervisors) are executed according to the legal regulations and the Charter of the Vietnam Stock Exchange.

3. Regulations on the Charter of the Vietnam Stock Exchange

Article 45 of the Law on Securities 2019 regulates the charter of the Vietnam Stock Exchange as follows:

- The charter of the Vietnam Stock Exchange is approved or issued, amended, and supplemented by the Minister of Finance upon the proposal of the Members' Council or the Board of Directors of the Vietnam Stock Exchange and the opinion of the Chairman of the State Securities Commission.

- The charter of the Vietnam Stock Exchange includes the following main contents:

+ Name, address of the headquarters, subsidiaries, branches;

+ Objectives, scope of activities, and provided services;

+ Charter capital; methods to increase, decrease charter capital, or transfer capital;

+ Name, address, and basic information of founding shareholders or capital-contributing members or owners;

+ Capital contribution or share capital and value of capital contribution of founding shareholders or capital-contributing members or owners;

+ Legal representative;

+ Management structure;

+ Rights and obligations of the Vietnam Stock Exchange;

+ Rights and obligations of capital-contributing members, owners, or shareholders;

+ Rights and obligations of the Members' Council or the Board of Directors, the General Director (Director), and the Supervisory Board (Supervisors);

+ Voting procedures of the Vietnam Stock Exchange;

+ Procedures for amending and supplementing the charter;

+ Applicable accounting and auditing regimes;

+ Establishment of funds, mechanism for using funds; principles for profit use, loss handling, and other financial policies;

+ Principles for resolving internal disputes.
