According to Article 63 of Decree 01/2021/ND-CP, the process for updating and supplementing information in the enterprise registration dossier is as follows:
- When registering, notifying changes in business registration content, the enterprise is responsible for supplementing missing information regarding the enterprise's phone number in the dossier. If the enterprise fails to supplement information about the phone number, the registration dossier, notification of changes in business registration content is considered invalid.
- Enterprises have the obligation to update and supplement information in the Business Registration Certificate, enterprise registration dossier according to the provisions in Clause 3, Article 8 of the Enterprise Law 2020, as follows:
+ In cases where the enterprise updates and supplements information in the enterprise registration dossier leading to changes in the Business Registration Certificate content but does not fall into the cases of registering changes in business registration content provided from Articles 47 to 55 of Decree 01/2021/ND-CP, the enterprise sends a notification proposing to update and supplement enterprise registration information to the Business Registration Office where the enterprise is headquartered. The Business Registration Office accepts the notification, reviews its validity, and issues the Enterprise Registration Certificate to the enterprise;
+ In cases where the enterprise only updates and supplements information in the enterprise registration dossier without changing the content of the Business Registration Certificate and does not fall into the cases of notifying changes in business registration content specified from Articles 56 to 60 of Decree 01/2021/ND-CP, the enterprise sends a notification proposing to update and supplement business registration information to the Business Registration Office where the enterprise is headquartered. The Business Registration Office supplements the information in the enterprise's dossier, updating the information in the National Database on Business Registration.
- Enterprises are not required to pay fees for enterprise registration in cases of updating and supplementing information about phone numbers, fax numbers, emails, websites, addresses of the enterprise due to administrative boundaries changes and cases specified at Point b, Clause 2, Article 63 of Decree 01/2021/ND-CP.
According to Article 47 of Decree 01/2021/ND-CP, the process for registering a change of the enterprise's head office address is as follows:
- Before registering to change the head office address to another district, city, province, or centrally governed city leading to a change in the tax management agency, the enterprise must complete procedures with the Tax Authority related to moving locations according to tax law.
- In case of changing the head office address, the enterprise sends a dossier registering changes in business registration content to the Business Registration Office at the new location. The dossier includes the following documents:
+ Notification of change in business registration content signed by the enterprise's legal representative;
+ Resolution, decision of the company owner for a single-member limited liability company; resolution, decision, and copy of the minutes of the meeting of the Members' Council for a multiple-member limited liability company, partnership, or General Meeting of Shareholders for a joint-stock company regarding the relocation of the enterprise's head office.
- After receiving the enterprise registration dossier, the Business Registration Office issues a Receipt, checks the dossier's validity, and issues the Enterprise Registration Certificate to the enterprise according to regulations.
- When changing the enterprise's head office address, the rights and obligations of the enterprise remain unchanged.
