Recently, the Ministry of Planning and Investment of Vietnam issued Circular No. 02/2019/TT-BKHĐT providing amendments to Circular No. 20/2015/TT-BKHDT providing guidance on enterprise registration.
From March 11, 2019, in case of changes in information about a founding shareholder of a joint stock company, the enterprise shall send a notification to the Business Registration Office of the province where its headquarters is located in accordance with Clause 16 Article 1 of Decree No. 108/2018/NĐ-CP of Vietnam’s Government. Only unlisted joint-stock companies may change their information concerning founding shareholders.
Concurrently, also according to the amendments provided in Circular No. 02/2019/TT-BKHĐT of the Ministry of Planning and Investment of Vietnam, re-issuance of the certificate of registration of branch/representative office/business location shall be done in accordance with Article 58 of Decree No. 78/2015/NĐ-CP and Clause 18 Article 1 of Decree No. 108/2018/NĐ-CP.
Regulations on issuance of Certificate of Business Registration as a replacement for Investment Licenses, Investment Certificates or the equivalent are also amended by Clause 5 Article 1 of Circular No. 02/2019/TT-BKHĐT.
