1. What is registration for trading of unlisted securities?

According to Clause 25, Article 4 of the Law on Securities 2019, registration means the admission of securities to trading on a system for trading of unlisted securities.

2. Application of registration for trading of unlisted securities in Vietnam

Application of registration for trading of unlisted securities in Vietnam is specified in Decision 34/QD-HDTV as follows:

Case (1) For a public company specified at Point a, Clause 1, Article 32 of the Law on Securities 2019, a transaction registration application includes the following documents:

- Application for registration of stock trading, made according to Form No. 36;

- Certificate of Public Company Registration;

- Company rules;

- A business registration certificate;

- A public company disclosure statement includes summary information on organizational structure, business activities, management apparatus, shareholder structure, assets, financial situation, and other information. other news;

- The latest year's financial statements of the joint stock company are audited by an independent auditing organization. If the company increases its charter capital after the end of the most recent accounting period, the audited latest financial statement must be supplemented.

- List of shareholders

- A certificate of completion of public company registration from the State Securities Commission;

- A Vietnam Securities Depository and Clearing Corporation certificate of securities registration and a written notice to the Vietnam Securities Depository and Clearing Corporation of the registration of the closing date of the list of shareholders to transaction registration.

Case (2) For a public company specified at Point b, Clause 1, Article 32 of the Law on Securities 2019, a transaction registration dossier includes the following documents:

- Application for registration of stock trading, made according to Form No. 36;

Form No. 36

- A certificate of completion of public company registration from the State Securities Commission;

- A Vietnam Securities Depository and Clearing Corporation certificate of securities registration and a written notice to the Vietnam Securities Depository and Clearing Corporation of the registration of the closing date of the list of shareholders to transaction registration.

- The prospectus that is enclosed with the Certificate of Registration of the Offering and the Report on the Results of the Securities Public Offering;

- Company rules;

- A business registration certificate;

Case (3) for equitized enterprises as prescribed at Point C, Clause 1, Article 133 of Decree 155/2020/ND-CP:

- If the enterprise is equitized in conjunction with registration, depository, and transaction registration, the transaction registration dossier includes the documents specified in Article 6 of Circular 32/2021/TT-BTC (for selling shares by auction method) or Clause 5 of Article 28 of Circular 21/2019/TT-BTC (for selling shares by book-building method).

- If the equitized enterprise has completed the transformation into a joint stock company and meets the requirements outlined in Point a, Clause 1, Article 32 of the Law on Securities 2019, the transaction registration dossier will include documents specific to the case.(first);

- If the equitized enterprise has completed the transformation to a joint stock company but does not meet the requirements at Point a, Clause 1, Article 32 of the Law on Securities 2019, the transaction registration dossier includes documents from Case 1 except for the SSC's certificate of completion of public company registration.
