Vietnam: Things about the procedures for change of enterprise’s name that enterprises need to know

The company name is one of the extremely important information and is also one of the contents recorded on the Business Registration Certificate. Therefore, when changing the company name, businesses must ensure that they fully comply with the procedures prescribed by Vietnam’s law.

Specifically, procedures for change of enterprise’s name are specified in Article 41 of Decree No. 78/2015/NĐ-CP of Vietnam’s Government as follows:

1. The application for change of enterprise’s name includes:

- Notice of change in business registration content;

- The decision of the Board of members (if the enterprise is a multi-member limited liability company), the General Meeting of Shareholders (if the enterprise is a joint-stock company), general partners (if the enterprise is a partnership), or decision of the company’s owner (if the enterprise is a single-member limited liability company) which specifies the changes in the company’s charter;

- The legitimate copy of the minutes of meeting on relocation of the Board of members (if the enterprise is a multi-member limited liability company), the General Meeting of Shareholders (if the enterprise is a joint-stock company), general partners (if the enterprise is a partnership), or decision of the company’s owner (if the enterprise is a single-member limited liability company) which specifies the changes in the company’s charter;

- Power of attorney in case of authorized implementation.

2. Place of application:

The Business Registration Office - Department of Planning and Investment where the enterprise’s headquarters is situated.

3. Processing duration:

After receiving the application, the Business Registration Office will issue a Receipt, check the validity of the documents and issue a Business Registration Certificate to the enterprise if the proposed name of the enterprise does not violate the regulations on naming enterprises.

Within 03 working days from the receipt of the satisfactory application (Clause 1 Article 28 of Decree No. 78/2015/NĐ-CP).

In case of refusal, the enterprise must be notified in writing. The notice must clearly state the reason and requests for amendments and supplements (if any).

4. Cost of change of enterprise’s name:

Cost of change of enterprise’s name  is VND 50,000/time according to Circular No. 47/2019/TT-BTC of the Ministry of Finance of Vietnam.

Notes:

Before changing the company name, businesses need to look up the new company name on the National Business Registration System to see if there is a duplicate name or not. At the same time, check whether the new name violates the regulations on business naming or not.

After the change, the enterprise must announce the change information on the national business portal within 30 days from the date of change. Fee for announcing changes in the content of the Business Registration Certificate: VND 100,000/time.
