1. Naming of enterprises in Vietnam
Article 37 of the Law on Enterprise 2020 stipulates names of enterprises as follows:
- The Vietnamese name of an enterprise shall contain two elements in order:
+ The type of enterprise:
* “công ty trách nhiệm hữu hạn” or “công ty TNHH” for limited liability companies;
* “công ty cổ phần” or “công ty CP” for joint stock companies;
* “công ty hợp danh” or “công ty HD” for partnerships;
* “doanh nghiệp tư nhân”, “DNTN” or “doanh nghiệp TN” for sole proprietorships.
+ The proper name.
The proper name shall consist of letters in the Vietnamese alphabet, the letters F, J, Z, W, numbers and symbols.
For example, Hoa Xuan Joint Stock Company or Hoa Xuan Joint Stock Company.
- The enterprise’s name shall be displayed at the headquarters, branches, representative offices and business locations of the enterprise
- The name of the enterprise shall be printed or written on transaction documents, records and printed materials published by the enterprise.
2. Naming of household businesses in Vietnam
Article 88 of Decree 01/2021/ND-CP stipulates the naming of business households as follows:
Each household business has its own name. The name of a household business shall consist of two elements as follows:
a) The phrase “Hộ kinh doanh”;
b) The proper name.
The proper name consists of letters in the Vietnamese alphabet, the letters F, J, Z, W, digits, and symbols.
Example: Hoa Xuan business household.
- It is prohibited to use words or symbols that contradict Vietnam’s tradition, history, culture, and ethics in the proper name of the household business.
- The name of a household business must not consist of the phrase “công ty” or “doanh nghiệp”.
- The proper name of the household business must not coincide with the name of another household business which has been registered within the same district.
