From July 1, 2015, enterprises have the right to decide on the form, quantity, and content of their seals. However, before the seal can be put into use, the enterprise is obligated to notify the seal specimen to the Business Registration Authority (CQDKKD) for public disclosure on the National Business Registration Portal (DKDN).
To have the company's seal sample posted on the National Portal, enterprises must follow these steps:
Step 1: Obtain the company's own seal
Since the Enterprise Law 2014 came into effect, enterprises are no longer required to go to the police department to create a seal but can instead utilize external seal engraving services.
Enterprises are free regarding the quantity, form, content, and design of the seal. The content of the seal must reflect the company's name and business registration number.
Step 2: Announce the seal sample
Enterprises are responsible for announcing the seal sample to the Business Registration Agency where the enterprise's head office is located for public posting on the National Portal on Business Registration in the following cases:
- Making the seal for the first time after business registration (Appendix II-8 of Circular 20/2015/TT-BKHDT);
- Changing the quantity, content, form of the seal, and seal ink color (Appendix II-9 of Circular 20/2015/TT-BKHDT);
- Canceling the seal sample (Appendix II-10 of Circular 20/2015/TT-BKHDT).
In the event that enterprises wish to continue using the seal sample with the quantity and form notified to the Business Registration Agency, they may make a replacement seal for a lost seal without notifying the Business Registration Agency.
The dossier includes:
- Notice of the seal sample (Appendix II-8, Appendix II-9, or Appendix II-10);
- Power of attorney (In case the submitter is not the legal representative of the enterprise);
- Personal identification documents as prescribed in Article 10 of Decree 78/2015/ND-CP.
Note: For enterprises established before July 1, 2015, if they wish to change their seals, they must complete procedures to return the old seal and the Seal Sample Registration Certificate to the police department where the seal sample was previously registered. The dossier for returning the seal sample includes:
- Official Dispatch requesting to return the seal;
- Original Seal Sample Registration Certificate;
- Copy of the Business Registration Certificate;
- Power of attorney (In case the submitter is not the legal representative of the enterprise);
- Personal identification documents as prescribed in Article 10 of Decree 78/2015/ND-CP.
